1 to 1 Personal Coaching (in person or over the phone/ Zoom or any online platform)

Please find below all the terms and conditions for the 1 to 1 personal coaching from any and all coaches and trainers in association with The Consult Centre, This is the Beginning or Ruth Wilkinson Consulting Ltd . All coaching services and communication, email or otherwise, delivered from Ruth Wilkinson or any member of The Consult Centre, This is the Beginning or Ruth Wilkinson Consulting Ltd team, as well as information on the website, blog or podcast has been created to help you become more self-aware and to expand a selection of strategies in life situations. Coaching is not a substitute for professional mental health care or medical care.  The term ‘coaching’ as here used covers all aspects of information shared from coach to client.
 
Coaching Disclaimer
I understand and accept that any coaching services or suggestions I will receive during or outside of coaching sessions are not offered as a substitute for professional mental health care or medical care and are not intended to diagnose, treat or cure any mental health or medical conditions. I also understand that any coach I work with is not acting as a mental health counsellor or a medical professional.
I understand that I am fully responsible for any results of actions that I take as a result of 1 to 1 coaching. I accept that all suggestions and techniques offered by my coach are solely for the purpose of aiding me in achieving the areas of intention I have set with my coach. I have the ability to give my informed consent, and hereby give consent to my coach to support me, but accept and understand that results are not guaranteed. I accept that coaching is currently an unregulated industry and that my coach is not licensed by any governing body in the UK even though the sessions may take place in the UK.
I accept that my coach will completely protect any information I disclose as confidential unless I state otherwise in written on email form. I also accept that if I have reported any illegal activates or that a person’s life is in direct danger then it is my coaches’ responsibility to disclose this information to the appropriate authorities. Also, that my coach would have to disclose this information is requested by legal authorities. I understand and accept that forms of technology such as email, text, phone, Skype , Zoom and other technology is not always secure and I accept the risks of confidentiality.
I declare that I have agreed to the terms in this document in sound mind and body. 
 
​Coaching Duration
1 to 1 coaching sessions can be booked up to a maximum of 6 months in advance of starting only upon agreement with the coach or trainer. 
The number, duration and frequency of sessions will be discussed and agreed with myself and my coach before 1 to 1 coaching will commence. 

Cancellations/ Rearranging Sessions and Late Fees
I agree and accept that there is a minimum 24 hour cancellation policy, to which I have to notify and receive confirmation from my coach that I am unable to attend. I agree that if I cancel with less than 24 hours’ notice that I will be pay the full session fee even if I cannot attend. 
The Consult Centre, This is the Beginning or Ruth Wilkinson Consulting Ltd and all coaches agree that they will provide at least 24 hours’ notice upon a cancellation of a session. If less than 24 hours’ notice the coach will provide the next session free of charge.
I agree and accept that it is my responsibility to start the session on time and that they session will finish on time regardless if I am late. If I am late, I also agree to pay the full coaching fee.
 
Pre booked Sessions
I understand that if I take a course of coaching sessions that there may be a time limit on the course. I agree to take the sessions within this time and understand I will forfeit any sessions not taken within this set time period. 
Any fees paid in advance will be refunded within 24 – 72 hours upon request of termination of the coaching. This will be minus any transaction fees and only sessions outside of a 24-hour cancellation time period. 
I understand that if I pay for a session or sessions in advance that I will take the coaching session(s) that I have paid for within the agreed time or the latest of 6 months of the payment or my payment fee is forfeited.
I understand that even if I have pre booked a course of sessions that The Consult Centre, This is the Beginning or Ruth Wilkinson Consulting Ltd  or my coach retains the right to cancel the sessions, with or without explanation and refund my monies within 72 hours.
I understand that all sessions will either be in person at an agreed location or over the phone, Zoom or Skype. 

Session Fees / Payments
Session fees are to be paid either before (or if agreed with the coach) on the day of the session. All session fees are to be made promptly at due time and a failure to do so could lead to a termination of the coaching contract. 
Fees can be paid online by debit or credit card using the PayPal or strips payments systems, by standing order, by bank transfer. Where receipts are requested by the client, they will be sent by e-mail unless otherwise requested.

​Between Sessions
Through the sessions the coach may assign the tasks or exercises to complete between coaching sessions. There is no obligation for these tasks to be completed, but not doing so may slow the progress for the aims and outcomes of the desired personal outcomes.
Brief contact in between sessions is completely fine in the form of text or email feedback on the understanding that the coach may or may not be able to return contact immediately. However, continual contact or a more in-depth request requiring at set time will be classed as a partial session and will incur an addition session fees in relation to time taken.
 
​Confidentiality
I understand that all information I provide is in strict confidentiality and will never be shared with anybody business or otherwise unless I personally request my coach to do so.  
 
Early Termination
In such circumstances, as illness or unavailability due to bereavement or other commitments, inappropriate behaviour by the client, actual or potential conflict of interest, or other reasons, The Consult Centre, This is the Beginning or Ruth Wilkinson Consulting Ltd can decide to terminate the service to the client early or refuse or be unable to provide further coaching sessions to the client. In such a circumstance the client will be given either immediate or reasonable notice of termination and all monies paid will be refunded within 72 hours.

Course Cancellation.

1. PAYMENT TERMS – Training, in house, open, online or otherwise delivered by The Consult Centre, This is the Beginning and Ruth Wilkinson Consulting Ltd

Payment for each module/ course must be received before the start of the programme or within 30 days of invoice date, whichever is the sooner. Bookings made outside the UK will not be confirmed until payment has been received. We accept payment by direct credit, cheque or selected credit/debit cards.

2. TRANSFERS, CANCELLATIONS AND NON-ATTENDANCE

2.1 PROGRAMME TRANSFERS

  • There is no charge for transferring to an alternative programme start date, provided the request is received 61 or more days before the start of the programme.

  • Requests to transfer received 29-60 days before the start of the programme will be subject to a transfer fee of 20 per cent of the programme fees.

  • Requests to transfer received 15-28 days before the start of the programme will be subject to a transfer fee of 30 per cent of the programme fees.

  • Requests to transfer received 0-14 days before the start of the programme will be subject to a transfer fee of 50 per cent of the programme fees.

 

2.2 MODULE TRANSFERS

  • We regret that students are unable to transfer to another module outside of their cohort once they have commenced the programme.

 

2.3 CANCELLATIONS

  • There is no charge for cancellations received 61 or more days before the start of the programme.

  • Cancellations received 29-60 days before the start of the programme are subject to a cancellation fee of 25 per cent of the programme fees.

  • Cancellations received 15-28 days before the start of the programme are subject to a cancellation fee of 50 per cent of the programme fees.

  • Cancellations received 0-14 days before the start of the qualification programme, are subject to a cancellation fee of 100 per cent of the programme fees.

  • If the student fails to attend/ commence the programme, 100 per cent of the programme fees are payable.

  • If a student wishes to cancel from the programme once the programme has begun, 100 per cent fees are payable. Students are advised to contact their training coordinator by emailing enquiries@theconsultcentre.com

NB: These programmes are cohort driven and as such all modules within the chosen cohort need to be attended in sequential order.  In cases of extenuating circumstances please contact the training coordinator on enquiries@theconsultcentre.com

 

2.4 NON-ATTENDANCE

  • Should the student fail to attend a module the full programme fees are payable.

 

3. PERIOD TO COMPLETE THESE COHORT PROGRAMMES

  • These programmes must be completed within the maximum time period stated under ‘Course Duration’ on the website, the start date of the programme being defined as any of the following: Induction day, Initial briefing day, Introductory workshop, required online and/or telephone activity or the first course module that is attended. Completion is defined as completing all requirements of the programme as outlined on the website.

Short Courses

 

1. PAYMENT TERMS

Payment must be received before the start of the course or within 30 days of invoice date, whichever is the sooner. Bookings made outside the UK will not be confirmed until payment has been received. We accept payment by direct credit, cheque or selected credit/debit cards.

2. BOOKING BY TELEPHONE AND ONLINE

2.1 Where booking (including paying) by telephone and online, we will confirm our acceptance of your order by sending an email to your nominated address, which shall include the details of your booking and the price paid by you (the “Confirmation”).

2.2 You may cancel your booking without charge at any time within fourteen (14) days of the date of your receipt of our Confirmation by emailing enquiries@theconsultcentre.com (this does not apply to courses booked within 14 days of commencement or by calling 01524 418225

 

2.3 Once we have been notified of your wish to cancel in accordance with clause 2.2 the sum debited by us from your debit or credit card for the order in question will be re-credited to your account within 30 days of your order being cancelled provided that, where any materials have been received by you in accordance with the relevant order, you have returned them and they have been received by us in the same condition as when they were provided to you.

2.4 For the avoidance of doubt, where you make any booking and receive Confirmation fewer than seven (7) days before the date on which the booking is scheduled to be performed, you shall be entitled to cancel at any time before the booking has been performed, but shall not be entitled to cancel after performance of the booking, regardless of your attendance and/or the number of days since your receipt of confirmation.

3. TRANSFERS, CANCELLATIONS AND NON-ATTENDANCE

3.1 TRANSFERS

  • There is no charge for transferring to an alternative course date, provided the request is received 31 or more days before the start of the course. One free transfer can be made after which there will be a £100.00 administration charge for each further request.

  • Requests to transfer received 15-30 days before the start of the course will be subject to a transfer fee of 20 per cent of the course fees.

  • Requests to transfer received 0-14 days before the start of the course will be subject to a transfer fee of 30 per cent of the course fees

3.2 CANCELLATIONS

  • There is no charge for cancellations received 61 or more days before the start of the course.

  • If the participant fails to attend the course, the full course fees are payable.

  • If the participant has previously transferred from an alternative course date and then subsequently cancels from the new course date then the cancellation fee charged will revert to the balance of those applicable at the time of the original transfer.

3.3 NON-ATTENDANCE

  • Should the delegate fail to attend a course the full course fees are payable

Paid for Webinars

(Singles or Webinar series)

 

1. PAYMENT TERMS

Payment must be received before the start of the webinar or within 30 days of invoice date, whichever is the sooner. Bookings made outside the UK will not be confirmed until payment has been received. We accept payment by direct credit, cheque or selected credit/debit cards.

2. BOOKING BY TELEPHONE AND ONLINE

2.1 Where booking (including paying) by telephone and online, we will confirm our acceptance of your order by sending an email to your nominated address, which shall include the details of your booking and the price paid by you (the “Confirmation”).

3. TRANSFERS, CANCELLATIONS AND NON-ATTENDANCE

3.1 TRANSFERS

  • There is no charge for transferring to an alternative webinar date (subject to availability), provided the request is received 2 hours or more before the start.

  • Requests to transfer received less than 2 hours before the start will be subject to a £15 administration charge.

 

3.2 CANCELLATIONS

  • There is no charge for cancellations received 48 hours before the start with exception of those booking within the cooling off period.

  • Cancellations received 0-47 hours before the start time are subject to a 100 per cent cancellation fee.

  • If the participant fails to attend the webinar 100 per cent fees are payable.

Course Cancellation
Intellectual Property

Intellectual Property.

1. All Intellectual Property Rights in the Course Materials, Online Courses and the speeches made by trainers at The Consult Centre, This is the Beginning or Ruth Wilkinson Consulting Ltd are, and remain, the intellectual property of The Consult Centre Ltd, whether adapted, written for or customised for the Client or not.

​

1.2. You are not authorised to:-

(i) copy, modify, reproduce, re-publish, sub-licence, sell, upload, broadcast, post, transmit or distribute any of the Course Materials without prior written permission;

(ii) record on video or audio tape, relay by videophone or other means the Online Course or Taught Course given

(iii) use the Course Materials in the provision of any other course or training whether given by us or any third party trainer;

(iv) remove any copyright or other notice of The Consult Centre, This is the Beginning or Ruth Wilkinson Consulting Ltd on the Course Materials;

(v) modify, adapt, merge, translate, disassemble, decompile, reverse engineer (save to the extent permitted by law) any software forming part of the Online Courses.

Breach by you of this clause 7.2 shall allow us to immediately terminate these terms and conditions with you and cease to provide you with any Services, including but not limited to access to the Online Courses.

7.3. In consideration of the Fees paid by you, we grant to you a limited, non-transferable, non-exclusive licence to use the Course Materials and the software in respect of the Online Course for the sole purpose of completing the Online Course and / or attending the Taught Course.

Social Media Management: 

Terms of Service

These terms of service are deemed to form part of any agreement of service between The Consult Centre and the Client.

 

It is agreed by and between the Client and The Consult Centre as follows:

 

ACCEPTANCE

It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. If a Client accepts a quote, then the Client will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full.

Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.

 

AGENCY APPOINTMENT

The Client hereby appoints The Consult Centre Ltd (The Consult Centre) to handle all advertising, communication and related work on social media required for its brand.

 

AGENCY SERVICES 

The Consult Centre shall provide to the Client services which shall include the following:

  • Setting up social media platforms such as Facebook, Twitter, Youtube, etc. where required and not already in place

  • Creating content, engagement as well as ongoing management of these platforms

  • Monitoring social media conversations and responding to the same

 

COMMENCEMENT AND DURATION

This agreement is deemed to commence from the date of the first invoice for service and shall remain in force for 6 calendar months. The agreement will be renewed thereafter every month, unless cancelled by either party in advance.

 

CONFIDENTIALITY

The Consult Centre shall maintain absolute confidentiality with respect to any confidential information received from the Client. The Consult Centre shall not disclose any such information without obtaining Client’s specific prior consent, otherwise than in compliance with statutory requirements.

 

GOVERNING LAWS

The Client and The Consult Centre shall comply with all statutory regulations. This agreement will be subject to the laws of the United Kingdom, specifically the laws of England and Wales.

 

AGENCY FEES AND REMUNERATION 

The Client agrees to pay The Consult Centre a retainer fee monthly as per the quote proposal. This amount will be payable at the beginning of the month of service, upon receipt of invoice from The Consult Centre in advance. 

All out-of-pocket expenses such as outstation travel, stay, etc incurred by the Agency, as part of this assignment, would be borne by the Client. Such out of pocket expenses will be incurred by The Consult Centre only after specific approval from the Client. Similarly charges for any other services including video creation, application development, media buy, purchase of licensed images and content, etc. if applicable, will be charged extra.

 

TAXES

All statutory taxes shall be borne and paid by the Client to The Consult Centre.

 

PAYMENT TERMS

The Client agrees to pay Retainer Fees against Invoices at the beginning of the month for that particular month. All other Invoices raised on the Client will become payable within 14 days from the date of all such Invoices.

 

INDEMNITY

The Client shall indemnify and keep The Consult Centre indemnified against all losses, expenses or damages that may be suffered by The Consult Centre due to any default or breach of terms by the Client under this Agreement.

 

NON- SOLICITATION

Both the Client and The Consult Centre hereby covenant that during the term of this agreement and for a period of one year following its termination or expiration, it shall not, without the previous written consent of other party, employ or contract the services of any person who was employed by the party at any time during a period of 12 months preceding the date on which the offer for employment is made to the party.

 

USE OF CONTENT

Both the Client and The Consult Centre hereby covenant that during the term of this agreement and for a period of three years following its termination or expiration, it shall not, without the previous written consent of the agency, reproduce, report, print, host or circulate any work completed and posted by The Consult Centre during the contracted period. The Client can, with express permission or by agreement of payment, use such content, only when an agreement has been made in advance.

 

FORCE MAJEURE

Neither the Client, nor the Agency, shall be liable for any default, delay or lapse occurring due to events beyond their control including riot, strike, theft, war, or acts of God and/or nature.

 

EVALUATION 

The Client and The Consult Centre shall evaluate progress under this agreement at the beginning of every quarter and take corrective action as may be required.

 

MODIFICATION IN TERMS

Any changes in the terms and conditions contained herein shall have effect only prospectively and shall be valid only if recorded in writing and signed by both parties (if hard-copy) or mutually agreed by return (if by email) by the authorised officials of the Client and The Consult Centre.

 

WAIVER

The failure of either party at any time to enforce any provision of this Agreement, shall in no way affect its right thereafter to require complete performance by the other party. Further, waiver of any breach of any provision shall not be held to be a waiver for any subsequent breaches. Any waiver shall be valid only if it is recorded in writing and signed by the authorized officials of the Client and The Consult Centre.

 

TERMINATION

Either party may terminate this agreement by giving 1 month’s written notice to the other, without assigning any reason whatsoever, only after the initial 6 month contracted period.  The obligations of the parties shall continue during the notice period.

Example: If you’re invoice date is 1st day of the month, and you cancel on 5th day of the January, your service would renew on 1st February and end on 28th February. Your last invoice would be the 1st February.

 

ARBITRATION

Any dispute, difference or question arising out of this agreement shall be settled amicably between the parties, failing which the same shall be referred to arbitration under the laws of England and Wales. The place of Arbitration will be Morecambe, England.

 

NOTICES

Any or all notice to be given by the parties hereto to each other under this agreement shall be in writing and shall be transmitted by email or by registered post or by courier service as elected by the party giving such notice, at the addresses as mentioned below:

  1. In the case of notice to The Consult Centre at: The Consult Centre, Floor 2, 231-233 Marine Road Central, Morecambe, LA4 4BQ

  2. In the case of notice to the Client at their registered address.

In the event notice is served by email by either party, it shall only be effective once the other party has returned by email to confirm receipt. Both Client and Agency confirm that receipt on notices issues by email will be confirmed to the other party within 2 business days.

 

SEVERABILITY

If a Clause of this Agreement is determined by any court or other competent authority to be unlawful and/or unenforceable, the other Clauses of this Agreement will continue in effect. If any unlawful and/or unenforceable Clause would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the Clause will continue in effect (unless that would contradict the clear intention of the parties, in which case the entirety of the relevant Clause will be deemed to be deleted).

 

This document was last updated 13th April 2020. Next review is scheduled for 13th April 2021. This document shall remain in effect if not reviewed even if the scheduled review date has passed.
